Lithic Corporation Terms of Service

Purpose of this Agreement

Lithic Corporation (Lithic) provides services subject to the terms and conditions in the following Terms of Service (TOS), which may be updated by us from time to time without obligatin of notice to you. The current terms of service will be available on the Lithic website. In order to use Lithic services, you must be competent to enter into a contract, and you must agree to the terms in this agreement.

Use of Lithic services

Lithic services are meant to be used to connect users with calendars and events in which they may have an interested. In order to support this goal, users:

Must not post any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

Must not interfere with the operation of the Lithic site or use Lithic site or services to attempt to attack other sites or services;

If you choose to submit suggestions or ideas to Lithic, you acknowledge and agree that your submission does not contain proprietary information, Lithic may already have similar ideas under consideration, and Lithic may or may not use the idea without compensation to you;

You agree to indemnify and hold Lithic and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit, modify or otherwise make available through the Lithic Services, your use of the Lithic Services, your violation of these TOS, or your violation of any rights of another;

You agree to not resell or commercially use Lithic services or products without written permission;

We have no obligation to provider any services or support, nor do we provide any service level agreement, backups, or any guarantees of availability or performance;

You undestand that any interaction between you and Lithic services may flow across state and national boundaries, and across networks that may be insecure;

You undestand that interaction with Lithic services or content you provide may be cached, saved on archival media, or saved by other users. Once images or other content is generated, it is generally impossible to completely control its propagation;

You agree that Lithic may terminate you account or content you have provided with or without reason at its sole discretion;

You understand that Lithic may provide advertisements anywhere on the Lithic site or other web properties or applications that Lithic provides;

You understand that there may be links on the Lithic site, and Lithic is not responsible for the linked content;

You agree that the code and services that Lithic has created are owned by Lithic and all proprietary rights are retained by Lithic;

You agree that there are no third party beneficiaries to this agreement;

You agree to abide by application laws;

Content you Provide

Content you submit or make available for inclusion by Lithic services grants Lithic the license to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content on Lithic Services.

No Warrantee

Lithic Corporation provides no warrantee of any type related to Lithic services. You expressely understand that:

You use Lithic services at your own risk;

Lithic employees, subsidiaries, agents, and officers make no warrantee of any type related to Lithic services;

Lithic will not be responsible for any injury you experience, including any emotional, psychological, physical, economic or any other injury or theory;

Dispute Resolution

You and Lithic each agree that the TOS and the relationship between the parties shall be governed by the laws of the State of Colorado without regard to its conflict of law provisions and that any and all claims, causes of action or disputes (regardless of theory) arising out of or relating to the TOS, or the relationship between you and Lithic, shall be brought exclusively in the courts located in the county of Larimer, Colorado or the U.S. District Court for the Colorado. You and LIthic agree to submit to the personal jurisdiction of the courts located within the county of Larimer, Colorado or the U.S. District Court for the Colorado, and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts.
